melissa: thank you so much. going nowhere fast, the stock market doomed for dismal results through the rest of the year. that is the warning from goldman sachs. merger of miseries. two of america's largest cable providers looking to merge. i think we heard this one before. this time though it is charter. the chances that the ftc will approve this time. fighter jets scramble after multiple jets to passenger planes, all a hoax. but the serious price we're paying for these empty threats. outrage at the mall. pac-sun forced to yank this upside down american flag it. shirt on memorial day of all things. even when they say it's not it is always about money. stocks diving into their steepest selloff in three weeks. the dow is on track for its worst day in a month dropping more than 200 points right now. look at that all major averages down more than a percent. investors on edge due to a mixed bag of economic data and fears

of a rate hike coming a little sooner than expected. nasdaq biggest loser on percentage basis. iraq back on the offensive, launching a massive operation to drive isis out of the anbar province. it is a region isis has controlled for 10 days since seizing the city of ramadi 70 miles west of baghdad. the announcement comes just days after u.s. defense secretary ash carter blamed the iraq army for losing the city. >> what apparently happened was that the iraqi forces just showed no will to fight. they were not outnumbered. but in fact they vastly outnumbered the opposing force. we have an issue with the will of iraqis to fight isil and defend themselves. >> the obama administration has already tried to mend fences with vice president joe biden calling iraq's prime minister to praise the troop's bravery. i'm joined by david asman and

judy miller of the manhattan institute. she is fox news contributor. also author of "the story." monica crowley is here. wash on times online opinion editor and fox news contributor. monica, i let you kick it off. >> well you can tell the ash carter is secretary of defense not secretary of state because diplomacy not one of his strong points here. he is making a legitimate part that the iraqi army for the most part, gave up the fight. however we wouldn't have been in the situation if president obama hadn't withdrawn all the american troops f there is significant american presence the iraqi army would be backed up by the u.s. army. this goes to the feet of president obama and his original policy of withdrawing all u.s. forces. the challenge is to do what president bush did when he recognized his strategy wasn't working. he took it on the chin politically and went and embraced the surge and it worked. president obama is different political animal.

i don't think he will change course. >> that is not what is happening here. unfortunately the iraqis are doubling down on the failed strategy which is to use militias composed shia whom sunnis and anbar province detest to go in and d.o.t. fighting that the sunni army doesn't want to do. this is the worst thing you can possibly do. ash carter is right about one thing. we can't substitute ourselves for the iraqi army. they have to defend their own country and their own cities. melissa: to what end? >> shia militia -- >> i don't know what to do. it is a mess. isis has suicide bombers that we don't have. they have them blowing up whole trucks worth, with the same tnt equivalent that killed oklahoma city at that time. they did that 27 times. bottom line our servicemen and women died there. there was one great navy seal, but there was a lot of great

people who died in ramadi. mike mansoor, jumped on grenade to save his battalion. they name ad destroyer after him. his people his memory what he did in a maudedy, the place that isis now controls should not be besmirched in any way. we have to remember the americans who fought and died there. i don't know what to do but i want, particularly this memorial day week remember him and others. melissa: there could be soon a new giant in the world of cable. time warner cable shares snaps it up in a $55 billion deal. jo ling kent joins us with more. >> melissa, this new deal could affect one in six american homes with cable just a month after the comcast time warner cable deal fell through all together. charter communications confirmed it is buying time warner cable for $55 billion in cash and stock. this acquisition by charter, which is the third biggest operator and smaller than twc is backed by mogul john malone liberty's broadband.

they will merge with smaller cable operator brighthouse networks. in total the cable internet giant would have 23 million customers. that is 23% market share. becoming a significant rival to comcast 27 million sick scribers. the deal is not approved by regulators. record hely the sec commissioner tom wheeler called ceos of charter and time warner that the agency wouldn't necessarily be against a merger according to "wall street journal" in a statement this morning wheeler said applying public interest test an absence of harm is not sufficient in this deal. the commission will look to see how the american consumers would benefit if the deal were to be approved. now we're watching time warner cable's stock right now. it is up a healthy nearly 8% on this news. melissa? melissa: jo, thank you so much. let's bring back our own david asman along with charles payne the host of making money. charles, what is the buy on this one? >> i wouldn't chase either one of them.

melissa: yeah. >> really? >> i feel like you've got an industry that is -- about creative destruction? this will probably be the biggest test case i can think of an industry where creative destruction, i don't see how we can stop it. if i were these guys i would be trying to figure out how to get on the other side of their business. melissa: john malone is the best in brand -- >> i would not sell him short. charles knows this. i have full disclosure. i used to work for him. i did a tv show for him once. got to know him. he is one of the best deal makers in the world. plus he knows how to deal with regulators. regulation will be one of the stopping points. nobody knows how to deal with regulators than john malone does. he has been doing it for 30 or who years now. he makes great deals. he plans everything out. not seen in the same breadth as comcast. seen as smaller thing. boy, does he have big ambitions. melissa: trying to gobble up a bigger company in order to defend himself.

you talk about the deal in the past not being approved between them and comcast. fcc chairman tom wheeler creech reached out to executives in both companies that the agency is opposed to all cable deals. do you buy that? >> there is a limit. comcast with any of the next two or three would be too much for them. melissa: monopoly. >> too much, particularly on the broadband side. we're talking cable side. broadband side we're they're spying it. time warner and comcast would be 57% market share. that is probably too much in industry where it is not organically like microsoft develop ad product. >> particularly when the fcc is being so interventionist. not doing harm is not enough from their perspective? this is the most interventionist fcc. they want to take over the internet. i think they don't allow this deal to happen, people have to rethink the fcc. >> they have to rethink it anyway. melissa: before you jump on shares of time warner cable make sure you have the right stock. look at these two investors confusing time warner and time warner cable.

giving the media company a premarket boost today. time warner spun off its cable business back in 2009. you can see that investors, you know, saw the error in their ways and went to chase the cable company instead. this makes you chuckle? >> i've seen stuff like this before. isis pharmaceuticals, started going great the stock crashed, down 40%. they kept saying we're not them. we're not them. finally investors got the message. melissa: they had to kill the dog on "downton abbey" because it was named isis. that is dangerous. you have to be careful of names. thanks, twice. the fbi investigating anonymous threats that cause ad scare over the memorial day weekend. at least 10 telephone threats causing a scare at airports in new york and new jersey. fox news's laura engle has more on this one. laura? >> hey, melissa. flights coming into the u.s. from cities such as paris, london and madrid were all

alleged targets of these threats that turned out not to be credible according to fbi. they all seemed to come from the same source. the situation was more than unsettling for many. authorities say the calls were taken seriously enough to prompt some searches of luggage in planes. in one case a military escort. u.s. fighter jets were scrambled to bring a air france flight into new york's jfk after someone claimed there was a chemical weapon on board. a statement from the fbi says the escort was out of abundance of caution. one passenger involved in yesterday's scare says the experience was horrible. other passengers weren't even aware of any threats. these flyers said they didn't know what was going on until they got on the ground. >> we didn't know nothing of a threat or something on the flight until we get over here. >> we have to follow the security procedures. we didn't snow about the chemical weapons or anything. >> no fun to talk about. there was another threat on a

saudi airlines flight to jfk. two planes were searched at newark liberty international airport in new jersey yesterday. a spokesperson with united passengers were removed from a flight from madrid while the plane was inspected. delta flight originated from london was searched. it received its flight from birmingham, england, to jfk was also threatened but by the time it landed in new york the threat was cleared and passengers were not detain ored or searched inbound flight from paris to boston as logan's airport was searched. busy day for investigators. melissa: laura, thank you so much. deadly floods charging through texas as the search continues for the dozen people still missing. plus thousands of people's health insurance happening in the balance as the supreme court rules on obamacare. we'll tell you which states could be hit the hardest. more "money" coming up. ♪

melissa: better hang on to your wallet. markets seeing red as major averages plunge the most in three weeks. look at that adding to bad news goldman sachs is not counting on happy returns for stocks, forecasting no price gain for the s&p 500 for the next 12 months. with the only returns coming in from dividends. david asman is back. this is one of the things really weighing on markets today, this gloomy forecast. >> it is. i will steal something from gary kaltbaum. he is a great guy. we have him on all the time. he had a terrific note today. real bull market this is six years into the bull market, usually they last four years. so it is overdue but that is not necessarily a sign. he said that the problem is 50% of the stocks are doing very well and 50% are doing very badly. so, usually when you have a strong bull market you have 80% or at least 70% of the stocks doing well. you have to look at the divide not just the amount that the market is going up as a whole

but, how many stocks are doing badly compared to how many are doing well. there is too much after divide there for a strong bull market. that is what gary says. i'm inclined to believe him. melissa: another point that makes a lot of sense from the guy at goldman sachs who wrote this s&p 50023.4 times over the past 10 years. what happens in the past, indicates next annual return will be 5% per year. basically things are getting ahead of themselves. which is how the market feels. >> market, i think and, again it is hard to say one thing about the market but basically think the market thought the economy would be doing better. now there is realization. melissa: i don't know why. >> well, because a lot of these phds from harvard at imf were saying economy would do much better. they had to continue ratchet back. melissa: you will bring harvard into this? you will bash harvard into this? this is not harvard's fault. >> my college is not even

u.s. supreme court as we await a critical decision that could wipe out insurance for millions of people. if the court rules against the obama administration insurance subsidies for people in these 34 states right here, that do not have their own health care exchanges, will be in jeopardy. david, monica, are back with us right now. monica, break it down for me. who is rooting for what here as we get down to the last second in these decisions? >> it is pretty messy, right? >> yeah. >> the question is whether or not the federal exchange is legitimate or not because language in the obamacare legislation now law, says the exchanges shall be established by the states. the question is what does the state mean? the argument against is that the state means individual states rather than the state and federal government. so they're arguing that the federal exchange is illegitimate and gutted and uprooted root and brand. in which case it will leave people on federal exchanges without insurance. >> even those who have gone on

federal exchanges have to pay a lot more on deductibleses. they get subsidies because the deductibles have gone up. >> those of us who opposed obamacare from the beginning predicted this. this is logical economic extension of what palm kiar always was. melissa: all of sudden you kick eight million people out of the system. as many as 70% would be without subsidies and couldn't afford it. it would more than triple the average right from $100 a month to $300 a month sound cheap to people hearing insurance costs. who do voters replace. >> they're blaming on republicans. even monica would agree with me. bottom line, democrats want to keep your subsidies. we want to help you have insurance that you couldn't afford before. if you doesn't get it anymore, taken away from you because republicans brought this up at the supreme court. they will follow through. now republicans say, we want a delay until 2017. the time at which these

subsidies would end. therefore by then they may come up with an alternative. it will be a hit on republicans. melissa: i think it is fair to say on both sides of the aisle people are unhappy without it turned out this could be a jump ball to either side. to propose something better if it happens right monica? >> president obama and left are so deeply investing what they currently have obama care they don't want any changes. if the supreme court goes ahead and guts the part of subsidies challenge for republicans, they have been on notice a long time to come up with alternative patient-based, market-based alternative so people who would lose subsidies have coverage. >> give people the right to have catastrophic insurance. if that is all you want you can work that out. >> with obama care the big point was never about health insurance. it was about government power and control. that is all they care about. melissa: stocks diving the most this month with the dow down the most since may 17th. all major averages fouling 1%

right now. look at that. nicole petallides at new york stock exchange, what is causing a selloff nicole? >> indeed we're seeing the dow down 200 points. mixed economic news. durable goods numbers. home prices didn't rise as much as expected. a strong u.s. dollar weighing on commodities as well, melissa. we're seeing energy in particular as a weak spot. also technology and materials that are among the big losers of the day, names such as first solar. that is a big technology name under pressure. names such as rig and neighbors weighing on the s&p 500 -- nabors. that fear gauge, is up 18%. shows you the cautious tone here on wall street. melissa: nicole, thank you so much. get ready to pant suit up. hillary clinton entering the 2016 race for swag. labor pains for the world cup. russia's creative new plan to save themselves some money. smart money on the way. ♪

news. the federal appeals court ruling on immigration. let's go to plate berman in washington. >> the ruling was two-one against the president. the federal appeals court has refused to lift the temporary hold on president obama's action that could shield up to 5 million immigrants from deportation. twenty-six states that filed this lawsuit. the department of justice had asked the state to reverse a decision. they have upheld the first decision. two-one. here is the reasoning from the fifth circuit court of appeals. because the government is unlikely to succeed we denied

espionage. melissa: 2018 world cup. officials are getting worried over how expensive the event has come. one lawmaker thought of a way to keep costs down. they will use prison labor instead of actual paid workers. monica. >> we were fighting and our great man died on the beach in utah and so many other places, fighting exactly this kind of thing. a dictatorship that does not respect human rights whatsoever and uses human beings as, essentially, slaves. it is terrifying. the united states needs to be far more aggressive. just like the loss of crimea and ukraine. this president has done nothing.
