talks to buy the insurance company. lea: tracee carrasco joins us with the details, good morning, tracee. tracee: if this merger is approved it would reshape health industry. cvs controls farm-store chains and management system while aetna is one of the largest insurers, talk of the possible 66 billion-dollar deal sent shares of aetna to all-time high while cvs fell 3%. report that is amazon is entering the pharmacy business reported a catalyst for cvs's move on aetna just as amazon gained approval from a number of state farm farm boards to become a wholesale distributor according to dispatch. including nevada, arizona, north dakota, louisiana, alabama, new jersey, michigan, connecticut,

idaho, new hampshire and tennessee. application pending in the state of maine. this news sent pharmacy business manager express grips down yesterday. lea: do you think this merger will actually happen? tracee: it's tough to say because health insurance, these types of mergers they always hit road block. aetna and humana tried to merge as well. anthem agreed to acquire cigna, those deals fell apart because there were concerns and antitrust rulations that they were working through and couldn't make it happen. so this one, i'm not sure. cheryl: this may be good for the businesses but not good for consumers, could lead to higher prices for consumers. tracee: exactly. cheryl: a different deal fell apart overnight.

the company have called off their 20 billion-dollar merger, deal opposed by activists u.s. investors claimed that it would destroy shareholder value. another company will have to pay a break-up fee. lea: house republicans with major victory. kevin brady speaking to lou dobbs thanking president trump for his help. >> today marks it begins of the end of this horrible u.s. tax code, president trump played a key role in passes through both the senate and the house and republicans came together knowing that we cannot land tax reform this year till we have a budget firmly in place. cheryl: more now on the vote and what happens next, connell mcshane. >> good morning, cheryl, good morning, lea, we had quite a day in the capital as the house

passed vote, it wasn't easy but important vote and paves way to tax reform. 216-212. the gop could afford 22 defections, they ended up getting 20 and the biggest issue were members from high-taxed states, they are word about removal of deduction for state and local taxes, you look at 20 no's, more than half came from new hampshire and new york, smith, even more from the state of new york will highlight congressman king has been quite outspoken on the issue. leadership is listening, house ways and means committee chairman kevin brady says the no voters made it clear. they need to see a solution on this issue surrounding deductions and he says he's working with them and he believes that the two sides are moving close to getting a solution but, you know, that's the issue for republicans here yet they have their issues, they have to work them out but many

really was the pharmacy push by amazon which is, of course, led to this merger that we are seeing between aetna and cvs. is this another industry that they will take over? >> yes, and it's one of many of industry that is we probably don't know about that jeff bezos plans to dominate. i mean, it's really pretty telling here. amazon, we might as well consider nation state, they are branching out into so many different aspects of everyday lives. they led the pack reporting sales growth of 34%. most telling stat for me is amazon's head count increased 80% in the last year. they are gearing up for much more growth ahead and i think we should expect it. cheryl: web services as well. amazon says they believe in investing not necessarily profit growth for now but investors like the web service growth they saw on that one. let's talk about microsoft, microsoft had pretty good news specially when it came to cloud service's business not

necessarily personal computing. are you a fan of microsoft right now? >> i am a fan. i say that seriously. if you look at it, they made an effort, when everyone was writing them off to focus on cloud segment and for two quarters in a row, that cloud segment has enjoyed growth faster than amazon. 56% this quarter versus 42%. so mr. softy is not so soft anymore. i'm a fan. cheryl: real quick on alphabet and then i want to get to apple. did you like the numbers you saw? >> they reported net income more than a dollar ahead of expectations. a billion dollars now. look for them to spend in acquisition to super charge growth. cheryl: 10 is out there for preorder. a lot of speculation that this is going to be a supply disaster

for apple because not is only 10 a hot phone but they can't get the made fast enough. what do you think? >> i'm guilty as charged as being apple fan boy. my bullishness on apple is off the charts. the super cycle upgrade, the numbers bare it out, recently apple cut back for production for iphone 8 because consumers are holding out today for iphone 10. look, as planned, this is going to be a large upgrade cycle for apple and next quarter when they report results, we will see it evident and look for shares to hit all-time high. cheryl: we had pete on the show for maria and they said 10 is amazing and it's going to totally change how people use phones, lou good to have you on the friday morning. >> no problem, great to be. lea: great expectations for passing tax cuts for americans.

groups. harvey weinstein is suing the company he finded demanding access to documents he claims could help with potential defense against several claims. weinstein was removed as ceo and resigned from the board last week amid allegations of sexual harassment and assault and that is what's happening now, lea, over to you. lea: all right, thank you, cheryl. house passing a budget that is key hurdle to tax reform. 401(k) prom and state and local deduction discussion is getting heated. good morning, to both of you. >> good morning. >> good morning. >> michael, i want to start with you, change to offset revenue losses that would result in plant tax cuts, i want to get your thoughts on whether this is a good idea, contribution limit possibly being lowered. >> i don't. i think this is going to hurt middle-class taxpayers because to go from 18,000 pretax

contribution to 2400, you know, pensions have gone the way the bird, people aren't relying on social security the same way. the way that people are saving for retirement and people that are overwhelming saving for retirement are the middle class are through 401(k)'s, it'll hold tax debate. >> chris, i want to get your take, when you think of retirement, you think of 401(k). >> absolutely. president is taking expectations to keep that, there needs to be room to find some of those agreements, you know, obviously the changes would be to tax things going in and then that would be it not only out but certainly they are going to have to give some room and there's nothing that stops folks of making other personal savings decisions but they'll be concessions to get this to go

through. this can't be like health care, republicans have to get this done. lea: another hot topic is state and local deductions and what happens there. michael, 20 republican house house members voted against and many were expressing disapproval, repeal income tax deduction for state and local taxes, your thoughts there? >> another instance where, i think, middle-class taxpayers are going to get hit unfairly and use kind of vessel to cut taxes on the upper class and top 5% of the country. state and local deductions are what overwhelmingly middle and lower-class americans take. when you get rid of those deductions, if you were to triple the standard deduction, in the long run it would hit middle-income families hard. those taxes are on schools, roads, social programs, things that every citizen in states like new york, in states like new jersey use.

lea: you know, chris, democrats called a plan a give away to the rich and to corporations and they're now saying, they are the ones being the deficit hawks and saying it would swell the federal deficit, what's your response to that? >> democrats think that government can do no wrong. this is -- it's going to be difficult. i understand, i think michael is right on sensitivity it is way this hits middle-income people. on the other hand, you cannot draw revenues only from tax it is rich, we have seen the numbers, it's not georgia to add up. from states in new york and illinois, they have to get state budgets under control. they've had issues in revenue that are unique, they have to live within their means, they have to negotiate obviously these lawmakers can't reveal deals up front but we are going to be looking close at state and local income and be able to negotiate something and this cannot be like health care, they have to finish this to resolution. lea: certainly this is going to be an issue when we go to

midterms, it's going to be a huge trouble. yesterday's house vote allows republicans to bypass democrat filibuster, what's the strategy that democrats are now going to have to block gop plan, we see the messaging campaign but what's the strategy? >> democrats are going to take straight to voters and it's going to be middle-class taxes that are going to go up, middle-class taxes go up all to ensure tax cut for the wealthy. getting rid of state tax, that's something that a small portion of americans would take advantage of. so i think that's a message that's winning for democrats and i think it's a message that even republicans can support. lea: chris, i want to get your take on that, really there is a messaging campaign and a lot of voters, a lot of people will be voting in midterm elections what will the republicans do to

overcome messaging from democrats? >> that's where president trump put a light in the sand to voters. there's room to negotiate, property taxes that hammer everybody, i think they can try to find agreement in those areas and, you know, elections electie about results and democrats are complaining about the fact that president trump is president. we will see what happens but hopefully republicans can get this done and have results. >> michael, your thoughts, negotiations on this and points of agreements, for example? >> i think there's areas where absolutely democrats and republicans can come to the table, you talk about repatriating funds, lowering business rate to 22%. we are not antiworking with republicans, we are antibad ideas and so we look forward working with -- >> they ran hillary clinton for president. >> let's not even go there. lea: thank you so much, chris. >> good to be with you. >> take care. lea: we will see how it all goes

when the markets started to change. we continue to hit all-time high and when markets get nervous about tax reform, that's when they start to head south. cheryl: other big news we want to talk about is deal between cvs and aetna, incredible news overnight. as you see all reports coming out yesterday as amazon is going into pharmaceutical cri business, you the two companies merging, this is pretty jaw-dropping. >> probably not surprising. aetna was looking for something with the failed merger with humana and cvs sees amazon coming, validated the retail space with the takeout of whole foods, drug delivery was probably the next step for them. cvs is making a wise choice thatly have retail, pharmacy benefit management, yet add insurance to that, this might have a better chance of getting through because there's not a lot of overlap between the two

businesses. cheryl: you think regulators might be a little kinder? >> i'm not an attorney but looking at 30,000-foot level it could happen. amazon is marching across the country devowerring everything in its path and reminds me of wal-mart a couple of decades ago. this is one of the most dangers companies in america and i honestly think that at some point those in congress will actually look at amazon and maybe rethink antitrust laws because there's no stopping this behemoth right now. cheryl: who can forget the 4-dollar prescription story with wal-mart. they're all getting into the business. really quick, we have gdp coming out today. this kind of goes back to politics because president trump has been very clear, he thinks if you get tax reform, this will fire up the economy but the economy might be already kind of fired up. we will know later, what do you say? >> 2.4% is good.

2.4 to 2.8. i think he's right. tax reform is important. we have a 77,000 payment code that actually encourages companies to offshore manufacturing, cash flow and sometimes even the entire company. sometimes it's good news if we get it. we have a 77,000 page code, what i hope that we don't get so complex in trying to fix it that we add up a couple of pages to do that. cheryl: more importantly, what are you going to be for halloween?
