facilities districts administered by the office of community investment and infrastructure, discussion and action item. >> thank you. commissioners [inaudible] that funds either construction of new infrastructure or maintenance of completed infrastructure, and in order to fulfill that role, ocii uses a tax assistant to do that. melissa is here to present that. >> thank you and thank you, chair bustos for allowing me to be here today. my name is melissa whitehouse, and i am seeking your approval today for a personal services contract for tax consulting. next slide, please. so you're probably all very

familiar with c.f.d.s, but i'm just going to give a bit of background both about c.f.d.s in general and ociis c.f.d.s, and then, this should be less than ten minutes total. i'm appreciative to be joined by susan goodwin from goodwin consulting. in the 80s, she worked with senator mello on the original mello-roos act forming c.f.d.s. so what are c.f.d.s? c.f.d.s were created as a passage of prop 13 in california, which greatly

limited our abilities to have sources for funding public infrastructure. so c.f.d.s allowed us to levee a public tax to finance public facilities, and in particular, because they needed to be voted on by the people paying the tax, they're very frequently used in a voting scenario where you have a voter and a very big developed area of land, and you'd like to start providing for public infrastructure before you have any property tax rolling in on the property. next slide, please. here at ocii, we administer seven c.f.d.s. actually, the commission is in charge of the c.f.d.s, which ocii staff and a special tax consultant support. these are special legal entities from ocii, and as a result, they're not subject to development finance or san

francisco board of supervisors, and we have seven formed over 35 years, and some of them are very old at this point. there's one in rincon point, south beach, three in mission bay north and south, two in -- i have a slide referencing the different project areas, and then also our newest ones in hunters point and candlestick point. next slide, please. so this is a little hard to see, but it's also in the memo that you received, just giving you an idea of where the c.f.d.s are. c.f.d. one is in the purple box. c.f.c.s two, three, and four are in the yellow, and our newest c.d.f. in candlestick

point-bayview-hunters point is in the very small area, and that's just improvement area one. next slide, please. this slide gives you a more detailed overview of these c.f.d.s. so i think it's an important difference that it's a maintenance c.f.d. or an infrastructure c.f.d. infrastructure c.f.d. is the money used to build the maintenance project, and then, the maintenance c.f.d. is used to maintain the facilities, whatever is being used in an on going way. the infrastructure c.f.d. is to build the item, and then, the maintenance c.f.d. is to maintain the item.

you can see that c.f.d. one is funded. you see c.f.d.s four, five, and six, c.f.d.s seven and eight, and finally, c.f.d. nine, which has a lot of potential capacity for the future. next slide, please. so finally, what am i here to get your approval on today is the partial tax consulting contract. so the scope of services of this contract is we have annual tax for our c.f.d. each year, especially administering the tax and making sure that residents are paying their tax bills and then a lot of reporting on our c.f.d.s, specifically, state reporting requirements and on going disclosures. and then, we have on going services that we may or may not have to use. so if we issue our bonds our

reissue our bonds, we would use services as needed for the contract. next slide, please. we're very fortunate the controller's office in 2020 did a request for qualifications where special tax consulting services and goodwin consulting services was the highest rated one. next slide. this was very good for us because goodwin has been administering our c.f.d.s since 2001, and they have an understanding of the complex need of these c.f.d.s. as someone who has been newly learning about these since january, i can tell you that there's a lot to learn, and it's just really wonderful to have someone who knows about the c.f.d.s.

they've been performing since the initiation of them. this contract is not to exceed $463,000 over the course of three years from june 1, 2021, to may 31 of 2024. a little over half of that is going to be for the annual task, and 178,000 will be for the as-needed task. next slide, please. and that is it. that is our presentation, as well. as a reminder, susan is on the phone to answer any questions. we ask for your approval of this contract, and we thank you very much for your time today. >> madam secretary, do we have any speaker's cards for this

c.f.d.s are in areas that are no longer active, ocii project areas. just curious if the manager of those c.f.d.s would transition at some point, and if so, to whom. >> that is a great question. actually [inaudible] i don't know -- i mean, we are having discussions. one of the reasons i was brought on is i do have a lot of experience with the city in particular strategy in public policy, and there is a lot of questions about where these projects are at and their complexity. there are a lot of questions like the one that you just raised as an agency. i am still framing those out, but we will be coming back to you in the future when we are presenting these again. so it was a very astute question, and you will see me

here to seek your approval for various service and consulting contracts, and john will walk you through those and also introduce the team members. john? >> good morning, president bustos and members of the commission. my name is john [inaudible] and i am with ocii. next slide, please. ocii has been funding affordable housing for years, to the extent that it constitutes about half of the outstanding tax allocation bonds at this time, subject to oversight bond and d.o.f. approval, we plan to issue $130 million to fund affordable housing obligations this year. bond issuance requires the hiring of expert financial experts and legal counsel.

next slide, please. just a brief background on the proposed projects that may benefit from this funding. i won't read them off, but you can see there's three in hunters bay shipyard and one in mission bay south. i believe this will provide partial funding for these projects. it's expected they will require funding from the source beginning in this fiscal year. the proceeds of the proposed bonds will be shifted to other eligible projects. next slide, please. this is a table of the entire bond financing team, minus the underwriters that have not been hired yet. as you can see, three of the contracts require resolution. the other two do not because of their size, but we have put them here on this table just

for perspective so you can see what the whole team looks like. first, k.n.n., who will be working with us for the first time and serving as financial advisor. i think they're currently the municipal advisor, and that is resolution number 15. confidential advisor will be kit hara and company. then we have jones hall who will serve as bond counsel and provide the underwriting legal opinions to allow the bonds to be sold. that's resolution 16. then, the law offices of alexis chiu who will provide disclosure counsel services to provide the disclosure that you provide in marketing the bonds, and that is resolution 17.

lastly, we have urban analytics who performs analysis on the pledged revenues and will be the fiscal consultants [inaudible] official statement provides the key quantitative data which will support the bonds. next slide, please. this is the [inaudible] putting the team together. in each case, the team was selected from a city panel, and the details of those establishments, the panels are listed there, as are the justifications for hiring them. k.n.n. is working with us for the first time, and we're

looking forward to getting started on that. every other provider has worked with us and been very satisfactory in the past. next slide, please. this is some of the contract terms, including the contingency. in some cases, it's contingent on the bond closing. if the bonds are not closed, no amount would be paid. the one exception is the fiscal consultant, and if the bonds don't close, they will be compensated on an hourly basis from operating funds. this is just traditional in the industry, and it has to do with, i suppose, not creating a conflicting motivation for the

person who's really establishing the viability of the bonds. next slide, please. so in summary, we recommend the authorization of these three -- i'm sorry -- two legal services contract and one personal service contract so that we can get this process underway and hopefully get our bonds closed prior to thanksgiving. next slide, please. and that concludes my presentation. i'd like to say that we do have representatives by each of the firms present. from k.n.n., we have david brosnia. we have david kitihata from kitihata and company, and [inaudible] and alexis chiu from his firm and david kahn
