amc entertainment which will trade under amc has a keen understanding of what it takes to win in theheater business. business that many clever people have written off as being in decline. too clever by half. how can the movie theaters compete with the likes of netflix and hulu or the rise of cable television? not to mention the increasing cheapness of big screen tv's? or the fact that dvd's are coming out three to four months after the movie hits theaters rather than the six-month clay you used to get? given all this, why would you want to invest in a movie theater ipo? amc is not just letting them fester. this is a company that's taking action to stay relevant and keep customers coming back for more. you know what, it's working. let me give you the rundown. like i told you before, amc entertainment is the second largest movie theater operator in the country. it has 343 theaters, that's sporting a total of 3,950 screens. the company plans to send 18.4 million shares. between $18 to $20 a share. that's what it's advertised now. they're going to use the proceeds from the deal to pay do

amc is setting aside 1.25% there are 2.5 million people in this amc loyalty club.use you go to the movies, how do we know you're an equity investor? you're not but you have the opportunity. they are not telling you how to invest but they say you can do it if you want. it is a well-known consumer brand and you can buy into it. you get your $12 per year to get him member -- to get to be a member of the movie club. >> sounds like a good deal and the industry will need more good deals trying to lure customers. here is paul sweeney. >> theater business as a starkly been a rocky business, a hit driven business. when you own a movie theater, you're dependent on hollywood. it tends to be quite a volatile business. the movie business has hung in there in terms of attendance over the last 5-10 years. theater operators recognize that movie attendance is somewhat flat. they come work with ticket prices. 3-d has been a big plus and maybe they have charged a 30% premium. some theaters are trying to bundle in a dvd or a download or some special seating or food arrangement designe

that owns amc is based in china and owned by man.'ird richest he bought amc in 2012 and will be selling it in the ipo and is investing heavily in entertainment in his homeland. but there are some other companies that are known brands owned by chinese companies. one of them is lenovo. that's an obvious example. they bought ibm's pc business. originally, the computers were branded as ibm thinkpad than three years and, lenovo held this ceremony, peeled off the ibm stickers and put on lenovo stickers instead. smithfield come at the more recent deal. it went under a lot of congressional scrutiny before being bought for $4.7 billion. smithfield is a meat processor and there were members of congress trying to make the case that this was a national security issue. necessarily that, but there is some concern that the quality standards in china are not what they are in the u.s. say what you will -- >> they have had problems going in that direction rather than coming in this direction if you are looking at where the pork is going. one more i wan

let's say, amc. >> amc is trying to position itself as the new amc. amc spent a lot of money building out theaters all across the country. these massive complexes that could house 25 or more screens. picked up a lot of debt along the way. part of the reason amc has been trying to go public for a long time now is to deal with some of that debt load. we have seen a number of stories in this lead up to the ipo about the new amc having these bigger seats. you can have certain theaters were you can have dinner and drinks. maybe they charge you a bit more the 3-d films. they are going for not necessarily bigger is better, but just better theaters over all. >> what is it about the timing? why now? we know as john pointed out they do want to get rid of some of the debt. what about the american right hospitable too be a company like amc? >> this is the fifth consecutive year were box office revenues were over $10 billion. industry fundamentals have never been better for the industry. as you mentioned at the outset, companies like in a mark and regal are all ge

why is amc selling shares at a discount?> they are coming at a discount, you have to give investors a discount relative to the peers. their margins are a little bit lower than some of the peers out there and that reflects the fact their theaters are in large markets like new york and chicago. very high rent. therefore the margins are little bit lower and they had to compensate investors. >> those rents have been taking a chunk out of profits. is that one of the top challenges? >> i think it is. it is one of the things that differentiates them from their peers. they are in very good markets. they have invested a lot in their theaters. they have made them a lot more comfortable. that allows them to push their prices on the tickets and it allows them to offer more concessions, make more money from concessions which is really where the theater operators and their profit. it is not from ticket receipts because they have to share that with the hollywood studios. to sell them some more popcorn and soda. >> and you mentioned those u

what amc is a little different.pportunity to buy into the ipo between -- investing between $200 and $500 on shares. they're using a system called loyal three, allowing members to buy into ipo without all the extra fees. kelly, i think this could be a smart marketing move. if they get investors to feel really committed to the theater chain, then more reason they should go to amc rather than one of their rivals. >> at the same time, reports demand for this ip on is a little tepid. >> the two rivals are cinemark and regal. this loyal three offering direct to consumers is relatively small. it's a small piece of the overall ipo offering but it's kind of a fun marketing play. but there are a lot of reasons why amc has advantages over its rivals. they charge higher prices on average. people spend more on beverages. they have a lot of fun extra things like reclining seats and bars and lounges attached to their movie theaters. at the same time they are more highly leveraged than either of the other two major companies. >> th
