. ♪ >>> we have some news on the carl icahn and the dell deal.o to david faber for the latest at the stock exchange. david? >> reporter: thanks very much, simon. a deal we've been following very closely as time gets tight for carl icahn and southeastern as ed management to shore up the structure and financing of their recapitalization plan for dell. sources close to the situation tell me the chances that icahn will bow out of his pursuit of the recap have grown considerably. while icahn is not talking, bankers and bond investors who have negotiated with him to line up what's now about $5.2 billion in financing tell me the prospect of a need for another $2 billion worth of equity for a recap is giving icahn pause as he reviews the horrendous operating numbers that dell has recently reported. it is those numbers when coupled with the need for more debt and equity to address a so-called liquidity gap in funding a $12 special dividend that may tip icahn to bow out. he's teaming with southeastern asset management may add a layer of complexity to that

get you back on soon because there's very important breaking news on dell involving carl icahn. swofford at the nyse, what do you have? >> reporter: following this story today about the most recent letter that carl icahn wrote to dell shareholders where he proposes a tender offer for $1.1 billion shares at $14 billion each. within that letter mr. icahn also states that he has obtained from a quote, unquote, major bank, the willingness to take $1.6 billion in financing available. can i tell you from a source that jeffries -- jeffries is the major bank mentioned in the icahn letter that has agreed to make $1.6 billion in financing available. i can also tell you that i spoke with mr. icahn just a short time ago, and he told me the following regarding the letter and the call for the tender offer. despite dell's own dire projections, he says, the company's own consule sultant, bcg, which they failed to mention, stated in the most conservative case that dell would make operating income of $3.3 billion in calendar year 2014. mr. icahn then said, again in his words, after the tender off

icahn and dell's special committee continues. that special committee once again slammed the icahn proposal saying it was lacking credibility and inconsistent. a major reason is the committee thinks the $5.2 billion mr. icahn is raise something not enough to pay for his $14 a chair te share tender offer because he has to pay dell debt comeing du. he said to me the company seems desperate because they keep on if i skating the facts. they now the $5.2 billion we are raising will not be enough to pay a tender offer of $14 a share. the debt doesn't come due for a year and a half. as only mr. icahn can, here is what he said next. what i learned in finance 101 is that bonds have an expiration date for a purpose. you don't have to pay them back until the expiration date is reached. additionally, when the tender offer is over, the company will have $5 billion in cash and will earn operating income of $3 billion according to dell's own consultant, bcg. again, so yesterday the special committee criticizing mr. icahn. now carl icahn responds
