take a look at shares of echostar down sharply. more on this complex deal with the ceo of echostar hamid akhavan joins me right here. market not taking it particularly well. we'll get to that in a minute. let's sort of start off on why we chose to go down this road. why do this deal? >> great to be here, david. thank you for the opportunity. look, i think it was the right time to do this is. i think the industry, the content industry, the distribution of content distribution industry, has been on a decline losing customers in a rapid pace to the streaming. i think there's been, you know, attacks by the programmers, by the new tech and it's the right time to bring the companies together to create a company that ultimately had enough ability to, you know, negotiate better deals with the programmers and bring smaller packages to the market, which consumers are asking. i think this was the scale game that, you know, kind of puts us in a level playing field with the -- you know, with the competitors in the market and i think so that's o

you can take a look at echostar shares, though.y have been moving higher, and those who try to understand the value of the company certainly look through and try and understand the value of that spectrum. what would this deal mean? my understanding is it is highly likely to occur. in fact, most likely to be signed in the near term, so we would expect, perhaps, that we will see a deal as soon as monday. how will it be structured? that's a key. the limited understanding that i have is it would be fairly complex, but that said, it would involve cash going from directv to dish and perhaps if not even more importantly the assumption of certain amount of debt as well, and that would create some debt capacity, perhaps, for echostar to continue to pursue its hopes and dreams when it comes to the wireless business. and of course, mike, i think i like to turn to you, because sara's still very young, but you have been around not quite as long as me. >> almost. >> you are. you are. >> just compared to you. >> yes. that's true. >> i have three

echostar, the owner of dish, is dodging bankruptcy by offloading the debt associated with pay-tv assetsset to sell more shares itself. let's discuss all of this with michelle davis. you were ahead of the curve on this. this is why at&t was not moving much, because we anticipated this offloading of directv. talk about what they are creating here by merging the companies. michelle: as you said, long time coming. the news came out this morning through a series of press releases, filings. dish and directv will combine. directv is acquiring dish to form the biggest pay-tv provider in the u.s. directv is paying one dollar in equity and then assuming $10 billion of dish debt in order to acquire the business. as part of that, directv has to get dish bondholders to take a haircut on some of their debt. if this goes through, it will mean a stronger balance sheet behind those lenders that are agreeing to this, but the bondholders have to agree to take the haircut. caroline: that is why some of these bond prices are significantly under pressure today. echostar meanwhile is going more into the infra
