egan? >> which one do you want? >> ted egan, chief economist in the controller's office of economic analysis. i'm here to share with you this evening a review of a report we issued last week on supervisor mirkarimi's legislation. i understand that you're considering both pieces of legislation side by side. we're still in the process of working on the analysis for supervisor farrell's legislation so don't have any findings to share with you on that piece of legislation now so i do have the results of supervisor mirkarimi's legislation. i should also tell you too the report that we issued last week, we issued prior to supervisor mirkarimi making amendments to his legislation, and he has outlined those amendments. they're closely aligned with what we recommended in our report, and i will try and clarify the points in my report here where the legislation has been superseded by the amendments that supervisor mirkarimi has made. zwroust go to the presentation as both supervisors told you the city included the stock values

egan will go into them in more detail. there are a set of amendments to change the proposal that had initially focused a two-year tax exclusion to only tech companies who had been founded after 2001, that were larger than 100 employees. i would suggest that we not omit this legislation to just as companies, that we need to have the exclusion open to any private company that undertakes either an initial public offering on a public stock exchange, or experiences a change of control prior to any such public offering, as in through an acquisition, during the period that the agreement is in fact. supervisor mirkarimi has proposed that we change that time from two years to six years. in the mn and that you have, i also suggest we amend the definition of the stock option compensation to be more precise. the definition that i think we adopt is a language from supervisor farrell's legislation to ensure compensation that the stock based includes incentive and non statutory stock options, including all underlying stock related to suc

tid yes egan has opined on this quite a bit about the analysis of why our legislation is able to focus on a very discrete population of companies that are pipo's, that are not yet public, and that by us being able to provide an incentive for companies like twitter, there's other companies like twitter that are considerably larger or comparative to their size that are in that stage of eventually becoming what would be a public company. but before doing so, the twitter deliberation has shed light as to what can we do to make sure that this industry, this population of companies within this industry, pre-i.p.o., do not leave san francisco as well. my legislation does the following -- it only applies to pre-i.p.o. companies that then undertake an i.p.o. in san francisco for a discrete period of time for approximately six years. so by the time the legislation would be implemented, plus six years. then the city will have the ability to decide the best approach in that interim of how else we may want to reform our tax structure. there has been contemplation of us supplanting the payroll tax f

egan. i think at this point we should go first to public comment -- or to commission remarks -- >> commissioner questions first. president o'brien: anybody have any questions at this point? >> for mr. farrell. i just wanted to ask, do you have a feeling of how many companies here in san francisco that are public have left because of their continuing to pay stock options? >> right. i think mr. egan as you mentioned before, i think it's impossible to tell how many of those have left over the past number of years to track them down. what i would tell you in anecdotal evidence in terms of research so what we've all been doing right now is public companies are actively placing head count elsewhere outside of san francisco. is it specifically related to stock options? i think it's more of a cumulative issue about their perception of the overall economic environment in san francisco. but they will actively tell you they're buying office space outside of san francisco and trying to add head count o

egan: you have hydrants that were manufactured in the 1800s. you have underground pipes, you have underground valves. they get what they call tuberculin built up. you would compare it to a 100-year-old man that has heavy cholesterol. they could be 6- or 8-inch mains, but being 100 years old, they actually may be 2-inch mains. and they reduce the amount of volume of water that's available to us. johnson: there were a number of things that we have had to do in order to get the system back up to an acceptable standard. replacing mains and valves and fire hydrants and other components of the system to ensure that it operates properly. egan: we consider both the underground infrastructure and the above ground assets to be a part of the critical infrastructure of the city. johnson: and if the infrastructure is not there to actually deliver that water in the volume and the quality that's necessary, then communities simply can't exist. man: infrastructure is vital to the american economy. water, after all, is an essential ingredient in hundreds of thou

as was indicated by ted egan's report, a very few companies are ipo and stay under $150,000. there are very few companies that will hit that level of payroll tax option. by the way, i appreciate my colleagues'support for my neighborhood and my district. it has been refreshing to me to talk to zynga and hear their commitment to the city of san francisco into our neighborhood. and i know they are in talks right now with several community advocates and nonprofits are around how to support local hire and individual jobs for individuals who have less than a four-year college degree. it was also nice to hear about the community work they have already been doing thus far, and the further commitment to deepening that level of support in our neighborhoods by partnering with nonprofits and potentially working on open space and other park issues. so, after careful thought, realizing that this legislation is terribly narrow and would impact a small number of companies, i am thinking we're moving in the right legislation. i will be supporting the legislation today. i do hope this does not
