espn does a lot of things for disney.ports, for one, it does a couple of things that no other form of entertainment does. one is, you: have loyalty. someone is more likely to tune out the next season of "the mandalorian" if they don't like the plot twist or the casting, but they are not likely to stop watching major league baseball or whatever they watch on espn. there is appointment viewing, which still exists in sports because i game is taking place when it takes place and people want to watch. there is a lot of benefit to having espn as part of that portfolio. it is not an accident that every other media company disney competes with has a major sports entity as part of their mix. emily: liana, what do we know about loeb's track record and how likely it is he will be successful here, especially with a company like disney? liana: it is hard to say. there was a vaguely threatening line in the letter where he said there is a talent gap on disney's board and he has good connections and can make some introductions to disney.

espn currently generates significant cash flow but we believe a strong case could be made that espn should be spun off to shareholders with an appropriate debt load that will alleviate leverage to the parent company. disney saying not quite no thanks, saying we welcome the views of all our investors. while disney company continues to deliver strong results powered by world-class storytelling and valuable content and distribution. what do you make of this? >> it is good to stir the pot. dialogue is helpful and it is interesting to put out these ideas. if i were bob to affect -- if i were the ceo of disney, espn does a lot of things for disney. sports for one. it does a couple things, one is you have loyalty. someone is more likely to tune out the next season of the manda lori and if they don't like it -- the mandalorian if they don't like it, but they aren't likely to tune out baseball or whatever they want. there is appointment viewing, which still exists in sports because i game is taking place when it takes place and people want to watch. there is a lot of benefit to having espn as part

the espn product in particular is interesting.he streamers are focused and they don't deal a lot in sports, a lot of the platforms like amazon, apple, google are getting into sports rights. you can look at this two ways. sports rights are going to give up, and disney is looking to get out of it, but the other side is that streamers think that sports are important to reduce churn. one point i think the debris should understand is that sports are the tent pole when it comes to advertising at these major media companies. i think 15 or more of the top 20 live events on tv were sports for the nfl alone. so there is knock on effects to getting out of the sports business that i think some people should be thinking about. >> joe, how should we think about these other media companies, though? we have seen some massive unwinds with at&t and time warner in such a short period of time. you see huge incentives to keeping people on their platforms. will we see a lot of these media companies divest a lot of these assets because they can't keep u

when you've got espn, which as you know is the 500 pound gorilla in that bundle, we sort of can help determine which way that bundle goes and how fast it goes so we feel like we have some degree of control of that. >> here he's talking about using espn for leverage to determine when they let go of this holding onto the tv bundle and shift gears over to direct to consumer in some ways it seems like what chapek is doing in his priorities align with loeb he talked about profitability. less perhaps about cost cutting but he did say he wanted to return the dividend to shareholders whereas shareholders shouldn't kanyi, what do you think how is this going to play out? >> i think with respect to the increase in profitability piece, put cost cutting aside, i think there's an incredible opportunity to consolidate in streaming what we've come to learn, content rules everything. they have an amazing, amazing roster in terms of some of the most inspiring ip. by increasing the bundle by bringing in live sports, by bringing in a lot of the deals that have been signed by hulu to create a strong bund

and i heard the conversation on disney and espn to me, the big loser here is espn. >> it's interesting. i will say it now. tom is a stud. that's out of the way, but it's -- we know the truths to be self-evident. number two, was inevitable but in october of last year, netflix finally fell on hard times. stock went from 700 to 162. you know all about it. but can there be a rebirth here in netflix because to the conversation we had, now you have valuation compelling, the world seems to once again be lining up for everything that reid hastings is doing. >> i think it's inevitable that netflix recovers more and is ultimately viewed as the winner. because what is not being factored in sufficiently certainly in the case of disney, but most traditional media companies that are pushing into streaming is how difficult the decline of the traditional business is going to be, how cord cut something accelerating. how ratings are declining, and while sports rights is certainly a good thing to help stabilize ratings, the fact of the matter is, when you are paying that much more for rights, and you hav

chapek when it comes to espn, loeb, plenty of anchors have said the same thing, loeb said maybe you want spin it off. he's also talking about hulu saying directly being integrated into disney's dtc platform will provide significant revenues and synergies and believes he would like to see them try to acquire comcast prior to the contractual deadline in 2024 even saying it would be prudent to pay a modest premium to accelerate the integration. although, again, there you're dealing with our parent company comcast and their willingness to enter negotiations so not necessarily a straightforward path there finally, i mentioned espn. he does say there's a strong case to be made that espn should be spun off to shareholders with an appropriate debt load that will alleviate leverage at the parent company and then ends the letter by actually saying that the board, in his opinion, at least, would benefit from a so-called refreshment. disney's a world class company that deserves a world class board of directors that dehas a world class record of leading organizations. he says, quote, leslie, not mean
