in this 2013 markup in a statement for johnson & johnson's website, you can see that johnson & johnson's legal team advised the company against claiming that our talc-based consumer products have always been asbestos free with the comment, we cannot say "always." they recognize that the company's talc could have been contaminated in earlier times. johnson & johnson built its fortune on its baby powder. the company's net worth is $440 billion. plenty of assets to help of women poisoned by their products. three weeks ago, johnson & johnson formed a subsidiary called l.t.l. management. they then dumped all of their asbestos-related liabilities, including nearly 40,000 lawsuits into that shell company. two days later, l.t.l. management filed for bankruptcy. this is corporate chicanery, corporate abuse because j&j only provided that shell company with $2 billion to cover tens of thousands of asbestos related lawsuits. $2 billion is a big number but j&j knows the real damages they caused. in 2018 the company was ordered to pay $4.69 billion to 22 women and their families who used baby powder.

johnson & johnson, they will give it a try. conglomerates announcing they will break up, streamlining their operations. today, we look at the future of this business structure and if the recent moves signaled the start of a trend or if this is a passing moment. we will see who might be the next to break up when it comes to conglomerates. were they? people talk about tesla, alphabet and meta-platforms. first, let's hear from the ceos who announced the move last week. >> these this misses will be more focused, a higher level of accountability. we should have sharper allocation and strategic flexibility. i think we will end up with investor bases, investors that are probably underinvested in ge today. put all that together and it's clear this is the best path to unlock and create value. >> both businesses have the potential to grow at least single digits and above going forward and we think this will better position the consumer business in this evolving environment to be even more agile and flexible, even more innovative to reach consumers around the world. taylor: for more on the breakups, let's go to the professor of management at the wharton school who offers programs on leadership for managers around the world. so interesting when we see these boom and bust cycles. then you need scale, you bulk up, then you realize you realize you're too big and not nimble enough, you start to split off and go small again. but have we learned through all these cycles and is it anything different from the breakups of the big conglomerates last week? >> the latest cycle is interesting because i think it is not a cycle, it is a permanent trend that is here to stay. in a nutshell, investors historically have increasingly wanted to put money of big investors of companies in a relatively specific market. at one point, you may recall there was a company that combined steel and oil. at one point, there was a company with rental cars and cupcakes under the same umbrella. tough to manage to begin with. investors on top of that have said we want to get the sector we want to be in and have been pressing companies for the better part of 30 years to break up. most recently we've seen ge, toshiba, johnson & johnson, others yet to come, the tale of a long-term process that is here to stay. caroline: here to stay globally as well? when does it still work to have a conglomerate? >> it's a good thing for several reasons. not the least of which is that, and larry culp of ge said it, that it allows top people, it is a tough world, complicated to make jet engines for example, tough to make hip replacements like they do at ge, and to give top management an opportunity to focus on the business line, to use alex gorsky's phrase, greater agility, greater capacity to get the job done. simply put, it's good for management and definitely for consumers. romaine: you mentioned twinkies and car rentals being under the same roof, i assume that was a reference to itt. what he did was very successful at the time. you talk about a company worth a few million dollars and turn into a multibillion-dollar company, but as soon as he left, this is what, 1970 nine or 19 80, there seemed to be at that particular c

johnson and johnson announces it is splitting into two separate companies. many start to rethink their conglomerate structure. u.s. thanksgiving and inflation are set to collide as americans get ready to sit down to a much more expensive meal this year all that and more, coming up. greg: it's incredible because after that scorching hot inflation print from the month of october, concerned that it will get worse before it gets better. here in toronto, we are at a record high. well above where we need to be. i know you are getting back to that territory on wall street as well. like now, bond yields pushing higher. we saw that reaction earlier this week with concerns about inflation. we are told time and again that it will ease but consumers are dealing with it on a daily basis. the fact that u.s. consumer confidence is being shaken by these hot inflation prints. we will get our october numbers next week in canada. it is pretty much the same situation. how much longer can they say, i believe you, and it will be just fine? but i could not believe this number when i saw it. 4.4 million americans quitting their jobs. that is an unprecedented number in terms of americans just handing in their resignation papers, incentivize by record wage gains and other attractive terms being offered by employers. americans leaving their jobs in droves. meanwhile, the number of available positions rose to 10.4 million. people feeling the power to say, i am looking for something better. matt: there are so many job openings, you can understand why they would feel confident in doing this. employers are having to fight to get labor. not only giving them better salaries but also giving them better working conditions, at least what are perceived as better working conditions. a lot of people flooding to work from home, for example, and they are shifting jobs so they can do that more easily. interesting move in johnson johnson today as well. the headlines are kind of shocking. this is an age-old behemoth, almost half $1 trillion company, no splitting into two. at one point we were up about 2%, now about half a percent. they will focus one side of the business on drugs, the other side on consumer products. david westin spoke with the ceo earlier today. >> both of these businesses have the potential to be growing at least mid single digits and above going forward. we think this will better position our consumer business in this evolving environment i mentioned earlier to be more agile, more flexible, more innovative, to reach more consumers around the world. matt: joining us now is damien conover, analyst at morningstar. he has a $106 price target on the stock. will you consider changing that? damien: based on the news we have seen today, i don't think it will drive a change in our fair value. the consumer assets for johnson & johnson were relatively correctly valued in the overall conglomerate struct

'60s, gulf and western and itt and then with a model given the changes in the environment, the company just broke and spun off again. so, a lot of times, one of the single spin-offs might be a big winner for shareholders when they do the tax distribution we saw that with at&t when it broke apart. and other instances. there are periods where everybody is hot for a deal. and then there are period where is people are hot to break it up a lot of it is three generation wall street. >> exactly we'll come back to that, herb, that's what fascinates me, the role of the investors putting it together and then breaking up. let's bottom line, for those older, for example, of general electric or johnson johnson, do they do better post-breakup >> historically, i would say sort of yes, depends on the company. look at ge, what investors are telling you today, after the initial euphoria in the news, the stock over the past few days has been sliding down. i think it depends on a company, tyler. and i think there's no sure fire here we know it makes great headlines. and beyond that, it's wall street that does what it does best and by the way, breaking up is so easy to do. >> when you've got a banker, yeah, sure, it's easy. bankers are rejoicing. ron when you see the headlines, and such repetition, so much breakups in a shorted period of time, we're at a period in time for the markets for this to happen, i don't know, it feels like it's signaling something that only happens when things are really good? >> yes, we could also argue the flip side, melissa, with merger mania ahead, with prior records indicative of a top. i'll worry more about a top when the fed changes policy yeah i would take

johnson & johnson, anyone who got a first dose should get a second dose. vaccinated is what will decrease transmission. that is on -- this is unlikely to make a change. kristen: a lot of people are struggling to get a booster shot and some are having a hard time and wonder if they should lie because some pharmacies are going with the cdc and it has not eased the booster restrictions yet. others because their websites have not caught up with the rapidly changing rules. do you have thoughts on the ethical question for people who really wanted it as to whether they should lie? dr. gandhi: at this point we have ample supply for everybody. this is not something the u.s. decided to figure out equity. there is ample supply. you could easily lie and get it. it is past the point of our doses going abroad. i think it is fine to do that. i do think it is safe and i don't see any contraindications to getting a booster. kristen: questions from our viewers. randy wants to know, if i had a reaction to the moderna vaccine, would you recommend a booster of another kind? dr. gandhi: yes. i would not recommend pfizer for you because there are certain elements, compounds in both types of mrna vaccines. if you want a booster, i would get the johnson & johnson. kristen: colette said, i got the pfizer booster, had a fever and chills. was this a bad thing that i had such a bad reaction to the booster? dr. gandhi: it is not a bad thing. this happens with increasing your antibody levels. you will feel ill for a couple days. this is why the fda advisory committee did not want to approve it. they did not want people to have adverse effects if they were fine with their immune system. if you have a high immune reaction, you may have side effects for a couple days. kristen: vivian wants to know, should my 17-year-old diabetics type one get a booster? he is at school in person and it has been more than six months. dr. gandhi: this is only approved for over 18 because there is an increasing risk of adverse effects with young males. this is not going to be improved -- approved for 12-year-olds to 17-year-olds yet. kristen: gretchen wants to know, i need the flu shot and the booster. which is more important to get first? dr. gandhi: a study in

society groups, n.g.o.s, and activists from all over the world marched out of the conference hall, en masse, all holding onto a long red ribbon. outside, they joined a large demonstration that had the deadline. >> braude: that's right, judy. on some level, this is to be expected. this happens at a lot of these urn conferences. there are just so many details to get through. you mentioned some of them. the first and foremost is what's called the emissions gap, that is the chasm -- and it is a chasm -- between what nations pledged to cut with their emissions and what is needed to cut with emissions to get down to stopping the planet from warming an additional 1.5 degrees. that has been the whole goal. one minister today said that the target of 1.5 degrees is hanging on by its fingernails. another issue is the issue of subsidies and this is somewhere around half a billion dollars that governments all around the world give to oil and gas companies to subsidize their work and keep gas prices low. john kerry today referred to these subsidies as the definition of insanity, but the language in the draft report issued this morning is a little fuzzy on what we ought to be doing about those subsidies. and there is this issue of aid to the developing world. wealthr nations promised $100 billion but they have failed to deliver on that. according to their own reporting, they've failed by, say, $20 billion. ox fem estimates that's $80 billion they're short. so lots of issues to work out. >> reporter: we're seeing a consensus position on fossil fuels now seems to be softening, and we understand there's been difficulty even in getting this language in these agreements in the past. why? >> braude: you're exactly right, judy. it is striking that at the are at the 26th climate conference and there is still this intense debate about minuscule language changes ward fossil fuels. we know they are the prince the driver of climate change. one of the factor, and there are in many, is that the oil and gas industry is influential. global witness did an analysis and showed that the oil and gas industry has more representatives here than compared to any other contry. so their interests are being looked after and lobbied on behalf of. it's also important to remember this process all goes under consensus. there are 200 nations here and they each have to agree to this. so some nations that don't want to see progress made, they can hold the progress up and they have been. we'll see what happens. the next draft data, the next draft document comes out tomorrow morning at indicted on two counts of contempt of congress, after he defied a subpoena from the congressional committee investigating the capitol insurrection. meanwhile, former trump white house chief of staff mark meadows failed to appear for his depositi before the panel today, prompting calls to hold him in contempt as well. president biden has nominated dr. robert kayliff to head the food and drug administration. the agency has been without a permanent leader since the president took office in january, amid the strain of fighting covid-19 and rolling out vaccines. if confirmed, it will be kayliff's second time leading the agency. white house officials today estimate that more than 27 million americans have now received a covid-19 vaccine booster shot. that comes hours after colorado governor jared polis signed an executive order making every adult in his state eligible for a booster. that goes beyond current federal guidelines, and was triggered by the state's recent spike in covid cases. tensions are high on the border between belarus and poland, as thousands of migrants remain stranded trying to cross into the european union. russia sent paratroopers to join in military the e.u. and the u.s. are preparing to widen sanctions against belarus, accusing president lukashenko of using illegal border crossings to retaliate against e.u. sanctions on his regime over human rights abuses. qatar agreed today to represent u.s. interests in afghanistan. the gulf nation will provide consular services for american citizens who remain there, and others who want to flee taliban control. the u.s. closed the american embassy in kabul in august. the biden administration estimates that several hundred americans are still in the country. a myanmar court today sentenced american journalist danny fenster to 11 years in prison with hard labor. the charges against him include incitement for spreading false and inflammatory information. he faces additional counts of terrorism and we know dozens of lawsuits already filed tonight. and abc's marcus moore from houston again tonight. >> reporter: tonight, new videos from the astroworld music festival revealing just how tightly packed fans were near the stage to see travis scott. in their criminal investigation, authorities in houston are trying to figure out what led to the surge that has now killed at least eight people, all younger than 30. houston's mayor telling me every aspect of the disaster is under review. >> looking at the security operation plan, looking at where people were positioned, looking at how this whole area was designed. >> reporter: at what is now a crime scene, investigators today poring over mounds of personal belongings left behind. 50,000 people watched as scott hit the stage just after 9:00 p.m. friday. fans swarming to the front to see the rapper. concertgoers said they had very little room to move or breathe. this video shows him climbing a platform to plead with the camera operator to stop the show. >> i went up to him, you know, begging him because my friend's in that pit. it was just fear. >> reporter: these new images from inside a heap of trapped bodies shows concertgoers crying out for help. one person seen dialing 911. the show continuing until 10:10, nearly 40 minutes after police say reports of injuries started coming in. tonight, new documents obtained by abc news showing the festival's operations plans did not specifically account for a crowd surge. and that only the executive producer and festival director had the authority to stop the show. but today, houston's fire chief saying scott should have called an end to the concert once he saw what was taking place in front of the stage. >> if he notices something that's going on, he can certainly pause that performance, turn on the lights and say, hey, we're not going to continue until -- until this thing is resolved. >> reporter: it wasn't clear if scott was aware or informed or the severity of the situation. and 9-year-old ezra blount was trampled by the crowd. he's now in the hospital, fighting for his life. >> he's a small, innocent child. he didn't deserve that. he didn't deserve it all all. he's just coming into town to see one of his favorite artists. >> reporter: and david, officials here in houston are still fielding questions about whether this concert should have been stopped sooner. the mayor and police chief both said that abruptly trying to tell a crowd of 50,000 people to leave could have made things worse. david? >> it would be. >> reporter: rittenhouse looking away when jurors were showed graphic autopsy pictures today. prosecutors resting their case this afternoon. the defense calling to the stand others who say they were there to patrol the streets alongside rittenhouse. nicholas smith saw rittenhouse after the shooting, describing him as sweating and pale. >> he repeats, "i just shot someone" over and over, and i believe at some point he said he had to shoot someone. >> reporter: defense also calling joanne fiedler, who testified that rosenbaum made threats that evening. >> rosenbaum started shouting back at us that he's going -- pardon me judge for saying this and everybody else, but he was going to kill us [ bleep ] -- and cut our hearts out. >> reporter: and david, the jury today taking a lot of notes during that testimony from the medical examiner. it remains unclear if rittenhouse will take the stand. david?
