kayla has some of the details. >> michelle, we just got a report from privco. they said that this is what he expects. that morgan stanley leads the offering, that the price ranges between $38 and $40 a share. and that the new york stock exchange will win the battle to actually list the shares of facebook. remember, privco lists the private companies. this isn't public. sometimes these calculations can be up. this is what privco does expect. facebook has 3.25 diluted shares. that price range between $38 to $40 a share would give you a valuation of between $89.3 billion and $9 billion. i want to call your attention to some key facebook dates here. of course, on sunday, this is january 29th, we have cheryl sandberg, the coo of facebook, speaking on a panel in davos on the 15th of february, the third quarter financial numbers, facebook will be forced to use fourth quarter numbers in their ipo. julia boorstin just reported the full year 2011 fiscal numbers for facebook. her sources told her that they are still working through the q-4 audit. so might take some time t

in today's "closing bell," kayla is standing by in headquarters. sorry, we got started without you. let's talk about the battle between goldman sachs and morgan stanley here in terms of who's going to be the underwriter. >> the battle extends far beyond morgan stanley and goldman sachs. but it's come down to the two of them. morgan stanley obviously having the prime role in a lot of these internet ipos this year. goldman sachs did the private placement with dst last year. there was a rule here in the u.s. that you can't overmarket a private placement. very, very strict s.e.c. rules about the way that a bank can market a private placement to its investors. and so because of those rules, and because of potentially going up against those rules, goldman was unable to include its u.s. clients in that deal. and it was forced to go outside of the u.s. that left goldman in a pretty bad spot as far as press coverage went, having to exclude facebook's domestic, you know, headquarter country in that offering. that's why the "wall street journal" story says you'll see goldman sachs in a large r

thanks to our kayla tausche's been doing excellent reporting on this.al by the way publicly traded, they did a private placement in facebook last year. if we can bring up gsv, this is an investment company that has a stake in the private market of facebook. so they put an investment in. so that stock is getting a big win. who else might get a big win here? goldman sachs. a lot of people saying goldman may not become the lead underwriter, guess what? they invested what is it $500 million back in december of 2010? >> think about that. gsv was able to get in, they have this investment in the ipo before in the company before it's public. it's all this -- this is all interesting stuff going on with the second markets. >> yep. >> i know we've been talking about it creates more liquidity, lets some people get out so they can cash out a little bit, get a little cash in, make some -- >> and not forget about peter teal. i've spoken with peter a couple times. not only one of the best tech investors, an early investor in paypal he was the first in facebook back in

we'll see. >> kayla you're still there. it sounds like this is another case where they're trying to guarantee a pop at the open. one that will trade and continue to trade above the offering price. >> and i think a lot of people will point to this number and say it's a disappointment on many levels because a lot of people were expecting that number. but like karen said, that number will come up. it will be interesting when we get that to look at the actual percentage of shares that will be offered. remember groupon only offered about 5% of its shares which manufactured the giant pop on day one. zinga offered 15% of its shares. flowing into that stock that diluted it a bit. it will be interesting to see if that number is 5 billion. what percentage of outstanding shares that is expected to actually comprise. that will help steer valuation here. >> kayla, do you think the news that we're hearing this evening is confirmation of the suggestions that have been made today that zuckerberg is really controlling all of this right now.

kayla tausche is looking at that part of the story.o what are investors going to be looking for and poring over if it does come on wednesday? >> reporter: those documents can be as long as 400 pages that we've seen. the s.e.c. has no hard-and-fast rules for those so-called s1s. first and foremost, the financials. in-depth earnings data going back the last three years finishing with the fourth quarter of 2011. also the company will lay out its growth forecast and what its margins are. facebook gets most of its revenues from advertising which, like google, it showed in 2004 in its s1 margins of 41%. people are saying facebook's could be higher than that. it will serve as a source of bragging rights for wall street banks and stock exchanges. but the company can exclude those details in its first edition of its filing. that's often seen as a good tactic to foster competition between the banks and exchanges on pricing that deal. the actual size of which will be replaced by a placeholder like 100 million bucks or so. mark zuckerberg's contem

kayla joins us now with what we should be expecting. kayla, what are you looking for in that s-1? seen them as high as 400 pages, so you can get it's not a lot of stuff that guess excluded from these. first and foremost, look for the financials of a company that's largely been opaque about this kind of stuff. facebook is expected to disclose earnings for the last three years. they'll also disclose growth measures, which could make the trading go berserk, and they'll break down their operating margins. if it's anything like its google margins, it will be around 40% or higher. you'll also see an outline of corporate strategy. acquisitions the company's done, patents it owns and very likely an opening memo from mark zuckerberg about the future of the company, and details about who's already on the facebook. right now the list stands at dst partners from the original harvard brain trust. so that's what we're expecting as far as what we're going to see a little bit later this week. >> what do we know about investment banks, who's doing the deal, the exchanges, where will the company li
