hi, sara. >> hi, kelly.average, american companies pay almost 40% in corporate tax rates while canadian companies pay roughly 26%. so, we did a little digging to find out what each company here paid last year. according to 2013 annual reports, burger king paid an effective tax rate of 27.5%. tim hortons paid 26.8%. so, you may wonder, why the deal? well, both companies' ceos went on media and analyst calls to stress the fact that it is not a tax-driven move. but here's the thing, the inversion may ultimately free up undistributed foreign earnings, which could be repatriated then without triggering u.s. taxes. >> if you look at the effective tax rate from last year, they are both roughly 27%. over time, the statutory rate for burger king should move toward 35%, and then the statutory rate in ontario's 26.5%. so, it's more of a long-term tax saving. in the near term, it wouldn't matter that much, but longer term, yes, they should. >> reporter: certainly an advantage longer term, while others see it as more of

kelly? >>> as the old saying goes, one man's junk is another's treasure, that holding true in today's market as well with a different kind of junk, as retail investors ditched high-yield bonds, institutional investors are snatching them up. that's what the "wall street journal" is saying adds up to over a net $13 billion of late. >> joining us now to take a deeper look into why retail investors are steering clear of junk bonds while institutional money is diving in is michael cassner from halliard asset management, and our jeff cox, who is writing about this topic on cnbc.com. michael, did a dog whistle go off? why did retail investors start to shed junk? >> well, i think there was a couple of things going on. if you look at the high-yield market relative to the s&p two months ago, both were trading at highs. both took a nose-dive, and since that time, the s&p has rallied up to almost the previous high, while the junk bond market has only retraced about half of those gains. so, i think that

one of the first witnesses is janet kelly. she was first a campaign manager and later a cabinet secretary. she had rave reviews on the stand about her former boss. but as for maureen mcdonnell her testimony only added to the unflatteri unflattering -- janet kelly says the relationship deteriorated when she worked on the 2009 campaign for governor. it was so bad that when he offered the cabinet spot kelly told him one condition, she didn't want to be the point of contact for maureen. testified kelly, i told the governor flat out when he offered me the secretary of the commonwealth job i couldn't work with maureen. the mcdonnell's defense attorney asked kelly to elaborate on the first lady's difficult behavior she began to cry before composing herself and answering she was very difficult, very demanding, very diva-ish. she didn't handle stress well and would freak out over little things. kelly said she was able to avoid maureen mcdonnell until she realized the first lady's outbursts were taking a toll on the governor. said kelly
