class a voting shares and national amusements hold 80% of that.have the bulk of the control but only 10% of the outstanding shares. the rest of the shareholders don't have any voting control. someone has come out from matrix saying with a letter to the paramount board saying this deal is not fair. they went paramount and the board to consider other offers that are out there. apollo last week made an offer for all of paramount. it was a $26 billion cash offer. this came after paramount's debt was downgraded to junk and apollo's view is because of this downgrade they can leave paramount's capital structure in place, not have to raise any new financing and put up equity. paramount has said it believes -- it doubts how much financing apollo has for this and apollo stance would be it does not need financing if it can roll over its stake. sonali: when you have the competing bid with the likes of apollo which still does have a massive tie to the capital markets, you have sherry redstone banking elephant. what comes next? michelle: at this point david ell

and under this potential deal, national amusements may be taken out, but the public shareholders willke it even worse, the public -- paramount might actually buy this private media business from from ellison for a couple billion dollars or more and further dilute shareholders. so it's a messy situation. analyst rich greenfield has called it chaos and dysfunction at paramount. the directors seem to be controlled -- concerned about it. four of the seven are not going to stand for reelection, so it's a messy situation right now there. jack: i think we need a diagram. green fed is often right but also negative on legacy -- >> yeah. and one thing that could be aping that's positive, if this deal falls apart, that's probably the best thing for paramount shareholders. jack: is there a bull case to be made for legacy media? >> the stock is very depressed, and you could have a takeover of the entire company. apollo, the private equity firm, is reportedly interested in buying the whole thing which could be a nice bump relative to where the stock is right now, so investors are probably hoping fo

it is not seen that national amusements wants to sell the entirety of paramount to private equity androken up into pieces or sold for parts. that does not seem to be something they want. what a lot of investors forget this is a controlled company. just because public shareholders want something does not mean the company has to proceed down that path. that is the danger of a controlled company when you are investing. if you do not like it, do not invest in controlled companies. caroline: because ultimately you may end up with a slightly diluted deal that leaves you slightly poorer. what is the narrative that now needs to be built by ellison or anyone else, the current board number ship of paramount to say, in the long term, this will review benefits? rich: if your controlled shareholder does not want to sell the entire company, you have essentially three choices, if you are sitting is the paramount board. you can do nothing, literally just operate status quo. i think the board recognizes. current strategy is not working. paramount+ bleeding $1 billion, $2 billion, not a meaningful play

national amusements, got to buy that.t a special committee that agrees that you can merge sky dance into paramount. you need paramount to come up with an exchange ratio. that's being negotiated. they're narrowing that range. and in fact, next week, for the first time, ellison's group, the ellison redbird group, is going to begin conducting due diligence at paramount. they are having meetings with management, and that process is beginning. so, they're deep into this. they haven't yet agreed to, though, an exchange ratio, and as i have reported a number of times, beyond the equity that would be exchanged for skydance, you would also have an additional equity issuance by paramount for which redbird, ellison, larry ellison, kkr, which owns some skydance, would step up and buy more equity. that would be used, in part, to delever and do a number of other things. the plan on the part of ellison is to radically restructure paramount, massively cut costs in terms of rationalizations, and get the stock to, frankly, they believe, wh

it would involve paying a premium for national amusements and the stake, of course, that it has the controlt, but not necessarily buying out the company. along with this deal is an important component that i have mentioned a number of times, but perhaps it's not gotten enough focus. the need to raise as much as $3 billion in new equity by paramount. that would be part of the deal were it to be agreed to. now, my understanding is that ellison and his partners would step up for a purchase of a good amount of that equity, but it would be dilutive. it would be common. it would be dilutive. it would be done in part to enable delevering and also to give the company some growth capital and put it on firmer financial footing. this is a company that just had its bond rating downgraded very recently as well. there's plenty to come here. special committee, of course, has to weigh in. its advisors have to weigh in. i'm hearing a lot of at least positive perspective on the possibility that this deal does get to the finish line as difficult as it might be to actually execute that. there does seem to be a
