norfolk southern is kind of in play right now.s it as a little bit the fact that norfolk southern is dealing with a lot of headwinds, including the coal franchise, which is seen as a sector in decline, as well as poor coverage of the fuel surcharges, which is really hampering its eps growth. alix: do you think if the deal gets done we are looking at a proxy fight? definitelyk it is going to come down to a proxy fight. the management of norfolk southern does not seem interested in merging with cp. it might even push norfolk southern into the arms of another acquirer. there are other networks out there and they don't want to be the last to consolidation of the real market. they want to be first or second pit it might motivate someone like burlington northern or union pacific or canadian national to merge with norfolk southern. they might find a connected network a more attractive vs.ork over the long-term, canadian pacific and norfolk southern network. what is striking to me is the whole sector has been slammed all year and norfolk

canadian pacific's renewed attempts, if you will, or continuation of its attempt to acquire norfolk southern. canadian pacific made an offer it was rejected by norfolk. the main reason, norfolk southern believes there that there is no way that said merger or acquisition would be approved by the merger board. today there is a conference call and a new offer from canadian pacific. bill ackman is on that call. it is expected to go on conceivably for hours. they will take every question they get until the last question is asked, i'm told. i'll share with you some comments already coming from the conference call itself. first of the new offer, they lowered the cash portion of the offer and increased the amount of shares that you would get as an nsc shareholder. the new offer is 32.86 shares and 4.51 shares of the new company that would be created. 47% of said new company would be held by company nsc shareholders, as you look at bill ackman there to my left. why not? keep him up. it would be put in a voting trust. meaning that you would get your 32.86 and your shares as soon as may of next year, w

norfolk southern, the railroad norfolk southern responding to canadian pacific's upped offer for the company saying that today as confirmed that the company's board of directors will carefully consider the publically disclosed revised proposal from canadian pacific and that it does acknowledge that the latest revised row policy provides a contingent value, right, but that other than that, cvr, it did not change any of the terms of the prior reduced proposal dated december 7th that was previously unanimously rejected by the norfolk southern. it also did not suggest the regulatory risks and in the proposed combination. upped offer for norfolk southern earlier this morning after which the executive team of canadian pacific and pershing square, bill abbingman, the top shareholder held an hour and 45 minute long investor call to explain the terms of that deal and what they're now calling as norfolk southern's board does not sit down with that company with their hunter harrison, the ceo of cp now calling "a street fight." taking a look at shares of norfolk southern. they're down nearly 2%.
