pilgrims is owned mostly by brazilian meat processor jbs, which has been on a tear of acquisitions to overtake u.s. industry leader. tyson foods. jbs bought smithfield's beef- packing business in 2008 and a year later, pilgrims pride, a colorado-based chicken company. now, hillshire's "pork-folio" would complete an industry trifecta and buy its way further into the u.s. market. "it wants access to the us for stability" reportedly, jbs is willing to pay 163-million dollars to interrupt hillshire's plans to diversify and take over pinnacle foods' more-than-two- dozen brands, including vlasic pickles and duncan hines cake mix. it is the latest in a wave of merger-mania is sweeping corporate board rooms. "it's a hot market right now and nothing's really undervalued now so that's why these mergers are happening." "pinnacle will have others waiting in the wings." hillshire's stock surged 22% on the news. as compared with falling more than three-percent may 12th-- when the deal for pinnacle was announced. pfizer is dropping is its bitter bid for astrazeneca. pfizer made a $117 billion dollar

it's still a relatively good buy for pilgrims even at $47.> not a tremendously large breakup fee? the hillshire/pinnacle, $163 million. not that that's chump change, but how would you assess that? >> what? the breakup fee? it's nothing. as you point out, it's a traditional fee on the size of the deal consistent with probably whatever the rules are of paying those kind of breakup fees, scott. >> mario to that point, do you think that tyson would come in? there is speculation they may come in and opper a higher price. does it matter to you either way? >> money is money. look, our clients -- we were trying to figure out whether we should vote for the deal. em nauns on friday, ricky sandler came out saying that deal makes no sense. the wrong product. paying the wrong price, and clearly institutional investors like us, not mindless investors with ets understand stood the dynamics. an unlikely deal we would have voted on and seems to be a deal in the works a longer period of time and goes back to where we owned sara lee and figured they would be go

so we have tyson brands, hillshire, pilgrim's pride and pinnacle foods. we're trying to show you, the viewers, what the recipe is for what the combination is. if you look on the right-hand side, you'll see the combos and the numbers appear before you. in essence, what tyson is trying to do, they're the nation's biggest meat processor. they're going after hillshire to combine their chicken products and prepared foods with brands like hillshire farms, kielbasa, prepared meats and remember jimmy dean's is a big part of that mix as well. they're paying a lot for it, but still it's a combination they want to do. now, pilgrim's pride is a lot like tyson, although perhaps on a little bit of a smaller scale. they do fresh and prepared chicken products as well. and they want those same processed meats. that hillshire farms brings. that's why they want to bid $45 a share for that. they want to combine these two particular brands. again, it's all about these brands. and then we can't forget that's happening really on the pinnacle foods side of things because you're

i know hillshire bid for pinnacle and, you know, pilgrim was basically saying we're a much better matchn that partnership. how do you think this is going to sort out? >> this is one of my favorite stock picks, and i picked it before i knew they were going to make this bid today, but this is a great company. it has a moderate pe of about 11, it has a 46% return on equity, it has huge free cash flow, and you look at what happened today in the market, both the stocks, hillshire and pilgrim's pride, went up. and so i think that says a lot about how the market views this. this is a great company, andbzhi believe that everyone thinks that this is a great merger. david: paul, let me stick with you for a second, i want to get a little optimistic after my pessimism and talk about asia for a second because we already know they don't need a great e[ population in order to have hundreds of millions of people in the middle class because there are so many there. but the middle class in asia which is now, i don't know, about 500 million more or less, could triple in the next decade. this is a huge mar
