bg and shell confirming that shell have made an offer. cash and four b shares. caroline: this could be the biggest deal in the industry in at least a decade. back to see when they merged two entities to see when they had this kind of scale. it would create the second-biggest energy producer in the world second only to exxon mobil. biggest energy deal in a decade. we get to see what the exact numbers will add up to. telling us when the share price will have been paid and how many shares that will be with respect to bg group. there were reports a could be worth up to 46 billion pounds. if this is the value, that would be a 50% premium. that would be above the usual average. usually we tend to see energy deals coming in at a 40% premium. think what bg group share prices have been through. down 29% since the oil price plummeted since june. the fact may have been slashed is why the assets are looking so juicy. suddenly good assets at a much cheaper price. let's take a look at what is in it for shell. it looks like they are getting reserves, th

or is shell the best fit? tim: it would seem unlikely that anyone else would come for bg but there are a lot of assets that are cheaper than they were 12-18 months ago. guy: if you were china, australia, i filled up a map and most of them were in asia. how do you think the chinese authorities will feel about this? do you think there will be concern about surrounding the company with exposure to lng? tim: it will be interesting to hear what they say. they probably will try to get their pound of flesh. whether they succeed is a different question. shell will be the biggest international oil company in lng but you have state producers like qatar petroleum. guy: i'm presuming that if you put this transaction together, you would be thinking asset disposals. do you think they want to offset areas where they are really strong and dispose of assets? what kind of synergy story do you think we are looking at? tim: they have to divest some things. bg's biggest production base today is in the u.k. the legacy of being part

shell is in a bit of a restructuring program. it has been offloading since the beginning of last year. a number of nonperforming assets. can't get away from the fact that the falling oil prices really corroded its capacity to generate profits, corroded its margins. in an acquiring bg group it is looking to diversify into what is probably going to be much cleaner fuel for the future. bg group is a world leader in liquefied natural gas. notwithstanding the fact that bg group has had significant problems of its own over the past 12 months. share prices are down quite significantly. the ceo of shell saw an opportunity it couldn't pass up. stephen: should we have seen this deal coming, given that oil prices have gone so low? michael: i certainly think so. there is insignificant chatter that some of the bigger oil companies may be looking to acquire some new assets were distressed assets, if you like. if you look at the oil and grass -- gas sector over the past 12 months, bg group has been a significant underperformer in that sector. t
