tysons anchor. that is where the company got started. that is where they pioneered this model of vertically integrated meet production. it has made them so big and profitable over the years. a chicken business was tysons beachhead for expansion. they went from there into the pork business, then into the beef business in 2001 when they purchased ibp. you see a company that has all three legs of the stool. this deal could help tyson get more of that branded product into their work folios. >> is this deal anywhere near being done? or is this setting up were combatants? process.rts the i think it is going to be a process. you have hillshire, which has a deal pending which got everything going from a timing perspective. at the end of the day i think the best strategic buyer is tyson. on their the most balance sheet. asential using their stock dry powder for this deal. eventually, we think it gets sold to tyson. it will take some time because hillshire is supposed to go to their show hard those -- their s

tyson up, look at hillshchlt moving up. dominic chu, who likes food, is outside cnbc headquarters talking food. chef, take it away. >> reporter: tyler, this is all about brands. so we have tyson brands, hillshire, pilgrim's pride and pinnacle foods. we're trying to show you, the viewers, what the recipe is for what the combination is. if you look on the right-hand side, you'll see the combos and the numbers appear before you. in essence, what tyson is trying to do, they're the nation's biggest meat processor. they're going after hillshire to combine their chicken products and prepared foods with brands like hillshire farms, kielbasa, prepared meats and remember jimmy dean's is a big part of that mix as well. they're paying a lot for it, but still it's a combination they want to do. now, pilgrim's pride is a lot like tyson, although perhaps on a little bit of a smaller scale. they do fresh and prepared chicken products as well. and they want those same processed meats. that hillshire farms brings. that's why they want to bid

tyson up nicely today. tyson by the way, many reasons to own tyson.ately the grain prices have come down dramatically. but this is an example of david, supermarket yardage. you are dealing with companies that people do not feel have any growth at all. chicken, beef, so the only thing you can do is merge. >> a quick couple things to the pinnacle deal is done. forget about that. no offense. they can try. i suppose let's not forget that hillshire, maryland company, they can try but 45, now 50, two bidders, one of whom is fully financed, never heard anything about financing from pilgrim's pride. they say we'll stay investment grade, offering 13.4, 13.4 times the last 12 months trailing adjusted ebitda. >> and that is a -- >> it's a [ inaudible ]. they're saying to eps in the first full year of ownership, significant synergy opportunities is what they're talking about. >> huge. >> more or less forget about that pinnacle deal at this point. >> that's mr. gamgorts they have a bidding war. been a while since we saw one of this type. i would argue tyson has th

imagine if your tyson's or pilgrims.ise cattle and chicken and you process them and to raw meat and package it up. if you couldinute actually take that and add some sugar, fat, and salt. that could taste really good in the lunch meat. you could send that to stores in convenient packaging. people could take it and eat in different ways. still it in a lunchbox or the microwave. people will pay a lot more for that kind of convenience and that kind of packaging and value added. want ton and pilgrims get out of this commodity meat business. they want to get into that higher-margin, hillshire kind of business. >> does that mean that the offers will likely go higher? >> one analyst as saying that tyson could potentially pay as much as $63. i think it will probably be more in the range of $50. there's a 30% to 40% chance that it could go into the high 50's. high 50's $50 bid to or up to $63? >> that is right. the market seems to think a couple more dollars. that is probably realistic. there's the possibility they could pay more

i thought it was interesting within the tyson release, saying tyson wants to capture opportunities in this attractive wherest-growing market, tyson doesn't have a lot of exposure. whether you are talking about taco bell and the waffle taco or tyson trying to capture the protein heavy breakfast, that's where it seems to be going. >> this is crazy. this was a $35 stocks 10 days ago. it is now trading above the offer price. i would assume the investors buying into hillshire assume that kbs -- jbs will come back with a higher offer. >> i have never eaten a jimmy dean sausage. . >> but it is selling. >> i know that you love the state fair corndogs. >> i do love corndogs. i do love a good corndog. ofthere have been a lot other businesses talked about besides tyson. hormel was talked about. wh, which is the new name of the chinese company that bought smith foods. there are other bidders that could be out there. hillshire agreed to buy pinnacle foods, the maker of birdseye frozen vegetables, so that it wouldn't be acquired. most of the shareholders who have been speaking out on this have said

this is what tyson does, packs the chickens in. there any sort of risk the companies are aware of that this will turn into a national movement and change the business model? >> not that i'm aware of. i don't know to what extent these are driving these transactions. illshire was viewed for a long time as a takeover target and nobody moved on it. they decided to go after an unrelated company and that got tyson and pilgrims pride moving. i don't know the state regulations is what's driving the moves or the aggressive moves by either one. foods --smithfield smithfield foods was taken over by a chinese company in part to secure supply for china's growing middle class. can we expect a foreign buyer to step in here? >> it does not look like it but i will not rule anything out. one week ago, i was having a conversation with someone close to hilshire and they were dismissing the idea anyone would come along to try to buy them. here we are a week later and there are two bidders. we have not picked up on any foreign bidders at this point. it

. >> if this is tyson versus holyfield, who wins? >> i think what you need to do is have modest expectations about future wins. be it an absence of bargains in the stock market, repressed real interest rates in the bond market, there is an absence of opportunity. so perhaps it's a time for patience, a little bit of cash to wait for better opportunities in the future. >> and in sectors in the market, do you want to be more defensive? >> we look for scarcity in the market. security by security, company by company, we're looking for businesses that have advantaged business models that aren't be replicated or ownership of assets is hard to replace. the key is to get them at the right place and it's increasingly hard to find. >> your predecessor one said that he'd rather lose half his investors than lose half of his investors' money and that was his reason for not taking part in the last tech bubble. i know you tend to carry a lot of cash when you're having trouble finding areas for buy. but are there areas to buy right now where you just

tyson has to compete. it could be a takeover target.bs which bought pilgrim's pride which bought smithfield back in 2008 and now is buying hi hillshire or wants to. i think the entire food space is in play here, though. when i look at the global food trade, i think tyson needs to be there, i think jbs needs to be there. watch brazil foods, bfrs, brfs, another name that wants to be one of the biggest players in not only the core meat business but the process food. this is the other part of it. pinnacle foods was a target because they were also in frozen foods and pizzas. and this is something that hillshire was going after. i think this is the way that all of these guys are looking to expand. mondelez, could be in play or taking over. pinnacle which has come back down is absolutely still in play. if anything, i would look at pinnacle here. because the value there that hillshire saw in them, i'm not saying that someone else can buy the same thing they were about to pick off, but i do think this is an interesting target for the same reason
